hf2766/enrolled.txtHouseFile2766-EnrolledHouseFile2766ANACTRELATINGTOCAPTIVEINSURANCECOMPANIESANDLIFECAPTIVEREINSURANCECOMPANIES,ANDINCLUDINGCIVILPENALTIES.BEITENACTEDBYTHEGENERALASSEMBLYOFTHESTATEOFIOWA:Section1.Section432.1,Code2026,isamendedbyaddingthefollowingnewsubsection:NEWSUBSECTION.7.a.Ataxreturnfiledunderthissectionshallnotbesubjecttoinspectionunderchapter22.Itshallbeunlawfulforanypresentorformerofficeroremployeeofthestatetowillfullyorrecklesslypublishanytaxreturnfiledunderthissection.Apersonwhoviolatesthisparagraphshallbeguiltyofaseriousmisdemeanorand,inadditiontoanyotherpenalty,shallbedismissedfromstateofficeordischargedfromstateemployment.b.Thissectionshallnotbeconstruedtoprohibitthedepartmentofrevenuefromturningoverinformationandtaxreturnsinthedepartmentofrevenue’spossessionpursuanttothissubsectiontodulyauthorizedofficersoftheUnitedStates,ortaxofficialsofotherstates,pursuanttoanagreementbetweenthecommissionerofinsuranceandanyofthefollowing:(1)ThesecretaryofthetreasuryoftheUnitedStates,orthesecretary’sdelegate.(2)Thecommissionerofinsuranceofanotherstate.Sec.2.Section432.1A,Code2026,isamendedbyaddingthefollowingnewsubsection:HouseFile2766,p.2NEWSUBSECTION.9.a.Ataxreturnfiledunderthissectionshallnotbesubjecttoinspectionunderchapter22.Itshallbeunlawfulforanypresentorformerofficeroremployeeofthestatetowillfullyorrecklesslypublishanytaxreturnfiledunderthissection.Apersonwhoviolatesthisparagraphshallbeguiltyofaseriousmisdemeanorand,inadditiontoanyotherpenalty,shallbedismissedfromstateofficeordischargedfromstateemployment.b.Thissectionshallnotbeconstruedtoprohibitthedepartmentofrevenuefromturningoverinformationandtaxreturnsinthedepartment’spossessionpursuanttothissubsectiontodulyauthorizedofficersoftheUnitedStates,ortaxofficialsofotherstates,pursuanttoanagreementbetweenthecommissionerofinsuranceandanyofthefollowing:(1)ThesecretaryofthetreasuryoftheUnitedStates,orthesecretary’sdelegate.(2)Thecommissionerofinsuranceofanotherstate.Sec.3.Section490.905,subsection1,Code2026,isamendedtoreadasfollows:1.Thesecretaryofstate,uponacorporationcomplyingwiththissectionanduponthefilingofarticlesofincorporationanduponreceiptofthefeesasprovidedinthischapter,shallissueanacknowledgmentofreceiptofdocumentasofthedateofthefilingofthearticlesofincorporationwiththesecretaryofstate.Theacknowledgmentofreceiptofdocumentshallstateonitsfacethatitisissuedinaccordancewiththissection.Thesecretaryofstateshallthennotifytheappropriateofficerofthestateorcountryofthecorporation’slastdomicilethatthecorporationisnowadomesticcorporationdomiciledinthisstate.Thissectionappliestolifeinsurancecompanies,andtoinsurancecompaniesdoingbusinessunderchapter515,andtocaptivecompaniesdoingbusinessunderchapter521J.Sec.4.Section521J.1,unnumberedparagraph1,Code2026,isamendedtoreadasfollows:Asusedinthischaptersubchapter,unlessthecontextotherwiserequires:Sec.5.Section521J.1,subsections2,6,7,8,and9,Code2026,areamendedtoreadasfollows:HouseFile2766,p.32.“Aliencaptivecompany”meansacaptivecompanyformedunderthelawsofanalienjurisdictionanycountryexcepttheUnitedStatesthatimposesstatutoryorregulatorystandardsinaformacceptabletothecommissioneroncompaniestransactingthebusinessofinsuranceinsuchjurisdiction.6.“Businessentity”meansacorporation,alimitedliabilitycompany,orotherlegalentityformedbyanorganizationaldocumentlegalentitypermittedunderIowalaw.“Businessentity”doesnotincludeasoleproprietorship.7.“Captivecompany”meansanypurecaptivecompany,protectedcellcaptivecompany,specialpurposecaptivecompany,orindustrialinsuredcaptivecompanyformedorauthorizedunderthischaptersubchapter.“Captivecompany”doesnotincludealifecaptivereinsurancecompanyasdefinedundersection521J.101.8.“Captivereinsurancecompany”meansacaptiveinsurancecompanyinthisstate,asauthorizedbythecommissionerbyruleunderthissubchapter,thatreinsurestheriskcededbyanyotherinsurer.“Captivereinsurancecompany”doesnotincludealifecaptivereinsurancecompanyasdefinedundersection521J.101.9.“Captiveriskretentiongroup”meansacaptiveinsuranceriskretentiongroupformedunderthischaptersubchapterandthatissubjecttochapter515E.Sec.6.Section521J.1,Code2026,isamendedbyaddingthefollowingnewsubsection:NEWSUBSECTION.13A.“Foreigncaptivecompany”meansacaptivecompanyformedandlicensedunderthelawsofanyjurisdictionwithintheUnitedStatesexceptthisstate.Sec.7.Section521J.1,subsection22,Code2026,isamendedtoreadasfollows:22.“Protectedcell”meansaseparateaccountestablishedbyaprotectedcellcaptivecompanyformedorauthorizedunderthischaptersubchapterinwhichanidentifiedpoolofassetsandliabilitiesaresegregatedandinsulated,asprovidedinsection521J.17,fromtheremainderoftheprotectedcellcaptivecompany’sassetsandliabilitiesinaccordancewiththetermsofoneormoreparticipantcontractstofundtheliabilityoftheprotectedcellcaptivecompanywithrespecttoHouseFile2766,p.4theparticipants.Sec.8.Section521J.1,subsection24,paragraphb,Code2026,isamendedtoreadasfollows:b.Thecompanyisformedorauthorizedunderthischaptersubchapter.Sec.9.Section521J.1,subsection31,Code2026,isamendedtoreadasfollows:31.“Specialpurposecaptivecompany”meansacaptivecompanythatisformedorauthorizedunderthischaptersubchapterthatdoesnotmeetthedefinitionofanyothertypeofcaptivecompanyasdefinedinthissectionsubchapter,orthatisformedby,onbehalfof,orforthebenefitofapoliticalsubdivisionofthisstate.“Specialpurposecaptivecompany”mayincludeareciprocalinsurer.“Specialpurposecaptivecompany”doesnotincludealifecaptivereinsurancecompanyasdefinedundersection521J.101.Sec.10.Section521J.2,subsection1,unnumberedparagraph1,Code2026,isamendedtoreadasfollows:Ifpermittedbyitsorganizationaldocument,acaptivecompanymayapplytothecommissionerforacertificateofauthoritytoprovidepropertyinsurance,casualtyinsurance,lifeinsurance,disabilityincomeinsurance,suretyinsurance,marineinsurance,healthinsurance,oragrouphealthplan,ortheabilitytoacceptortransferriskbymeansofaparametriccontract,withthefollowingexceptions:Sec.11.Section521J.2,subsection2,Code2026,isamendedbyaddingthefollowingnewparagraph:NEWPARAGRAPH.e.Thecaptivecompany’sorganizationaldocuments,andanysubsequentamendments,havebeenfiledandapprovedbythecommissionerpriortobeingfiledwiththesecretaryofstate.Sec.12.Section521J.2,subsections3,4,and5,Code2026,areamendedtoreadasfollows:3.a.Priortoreceivingacertificateofauthority,acaptivecompanyapplicantshalldoallofthefollowing:(1)Filewiththecommissionerallofthefollowing:(a)Acertifiedcopyofthebusinessentity’sorganizationaldocument.(b)AstatementunderoathofanofficerofthebusinessHouseFile2766,p.5entityshowingthebusinessentity’sfinancialcondition.(c)Anyotherstatementordocumentrequiredbythecommissionerasestablishedbyrule.(2)Submitadescriptionofcoverages,deductibles,coveragelimits,rates,andanyadditionalinformationrequestedbythecommissionertothecommissionerforapproval.(3)Provideastatementtothecommissionerthatdescribesallofthefollowing:(a)Thecharacter,reputation,andfinancialstandingoftheorganizersofthebusinessentity.(b)Thecharacter,reputation,financialresponsibility,insuranceexperience,andbusinessqualificationsofallofficers,directors,andmanagingmembersofthebusinessentity.(4)Provideanyotherinformationrequiredbythecommissionerasestablishedbyrule.b.Ifthereisasubsequentmaterialchangeintheinformationprovidedtothecommissionerunderparagraph“a”,thecaptivecompanyshallsubmitappropriatesupportingdocumentationtothecommissionerforapproval.Thecaptivecompanyshallnotofferanyadditionallinesofinsuranceuntilonorafterthedateonwhichthecommissionerapprovesthesupportingdocumentation.Thecaptivecompanyshallinformthecommissionerofanychangeinrateswithinthirtycalendardaysofthecaptivecompany’sadoptionofachangeinrate.c.Inadditiontotheinformationrequiredunderparagraphs“a”and“b”,eachapplicantcaptivecompanyshallfilewiththecommissionerevidenceofallofthefollowing:(1)Theamountandliquidityofthecaptivecompany’sassetsrelativetotheriskstobeassumedbythecaptivecompany.(2)Theadequacyoftheexpertise,experience,andcharacterofthepersonswhowillmanagethecaptivecompany.(3)Theoverallsoundnessofthecaptivecompany’splanofoperation.(4)Theadequacyofthelosspreventionprogramofthecaptivecompany’sparent,members,orindustrialinsureds,asapplicable.(5)AnyotherfactorsdeemedrelevantbythecommissionertoascertainiftheproposedcaptivecompanywillbeabletomeetHouseFile2766,p.6thecompany’spolicyobligations.d.Inadditiontotheinformationrequiredunderparagraph“a”,eachapplicantthatisaprotectedcellcaptivecompanyshallfilewiththecommissionerallofthefollowing:(1)Abusinessplanthatdemonstrates,atalevelofdetaildeemedsufficientbythecommissioner,howtheapplicantwillaccountforthelossandexpenseexperienceofeachprotectedcell,andhowtheapplicantwillreportthelossandexpenseexperienceofeachprotectedcelltothecommissioner.(2)Astatementthatacknowledgesthatallfinancialrecordsoftheprotectedcellcaptivecompany,includingrecordspertainingtoanyprotectedcells,shallbemadeavailableuponrequestforinspectionorexaminationbythecommissionerorthecommissioner’sdesignatedagent.(3)Acopyofeachparticipantcontract.(4)Evidencethatexpenseswillbeallocatedtoeachprotectedcellinafairandequitablemanner.e.Inadditiontotherequirementsofparagraph“a”,acaptivecompanyformedasareciprocalinsurershallfilewiththecommissioneracertifiedcopyofthepowerofattorneyofthereciprocalinsurer’sattorney-in-fact,acertifiedcopyofthereciprocalinsurer’ssubscribers’agreement,astatementunderoathofthereciprocalinsurer’sattorney-in-factthatshowsthereciprocalinsurer’sfinancialcondition,andanyotherstatementsordocumentsrequiredbythecommissionerasestablishedbyrule.f.4.Alldocuments,reports,andinformationsubmittedpursuanttothissubsectionsubchaptershallbeconfidentialandshallnotbemadepublicwithouttheadvancewrittenconsentofthesubmittingcompany,withthefollowingexceptions:(1)a.Thedocumentsandinformationshallbediscoverablebyapartyinacivilactionorinacontestedcasetowhichthecaptivecompanythatsubmittedtheinformationisapartyuponashowingbythepartyseekingtodiscovertheinformationthattheinformationsoughtisrelevantto,andnecessaryfor,thefurtheranceoftheactionorcase;theinformationsoughtisunavailablefromothernonconfidentialsources;andthatasubpoenaissuedbyajudicialoranadministrativeofficerhasHouseFile2766,p.7beensubmittedtothecommissioner.(2)b.Thecommissionermay,inthecommissioner’sdiscretion,disclosethedocumentsandinformationtoapublicofficialhavingjurisdictionovertheregulationofinsuranceinanotherstate,ortoapublicofficialofthefederalgovernment,providedthatthepublicofficialagreesinwritingtomaintaintheconfidentialityoftheinformation,andthatthelawsofthestateinwhichthepublicofficialservesrequirethattheinformationremainconfidential.4.5.a.Eachcaptivecompany,eachindividualseriesofmembersofalimitedliabilitycompany,andeachprotectedcellshallpayanonrefundablefeetothecommissioneroftwohundreddollarsfortheexamination,investigation,andprocessingofitsapplicationforacertificateofauthority.Thecommissionershallbeauthorizedtoretainlegal,financial,andexaminationservicesfromoutsideexpertsasnecessaryforreviewoftheapplication,thereasonablecostofwhichmaybechargedtotheapplicant.b.Eachcaptiveinsurancecompany,eachindividualseriesofmembersofalimitedliabilitycompany,andeachprotectedcellshallpayaninitialregistrationfee,andanannualrenewalregistrationfee,ofthreehundreddollars.5.6.Ifthecommissionerissatisfiedwiththedocumentsandstatementsthatanapplicantcaptivecompanyhasfiledincompliancewiththischaptersubchapter,andtheapplicableprovisionsofTitleXIII,subtitle1,thecommissionermaygrantacertificateofauthoritytothecaptivecompanythatpermitsthecompanytodothebusinessofinsuranceinthisstate.Thecertificateofauthoritymustberenewedannuallyandmayberenewediftheapplicantisincompliancewiththischaptersubchapter.Sec.13.Section521J.4,subsection1,paragraphsdande,Code2026,areamendedtoreadasfollows:d.Isnotlessthanfiveonehundredthousanddollarsforaprotectedcellcaptivecompany.If,however,theprotectedcellcaptivecompanydoesnotassumeanyrisks,therisksinsuredbytheprotectedcellsarehomogenous,andtherearenotmorethantencells,thecommissionermayreducetheamounttoanamountnotlessthantwohundredfiftythousanddollars.HouseFile2766,p.8e.Isnotlessthantheapplicableamountofcapitalandsurplusrequiredinparagraphs“a”through“d”,asdeterminedbasedupontheorganizationalformofthealiencaptivecompany,forabranchcaptivecompany.Theminimumcapitalandsurplusshallbejointlyheldbythecommissionerandthebranchcaptivecompanyinabankofthefederalreservesystemasapprovedbythecommissionerbyrule.Sec.14.Section521J.4,subsection3,Code2026,isamendedtoreadasfollows:3.a.Thecapitalandsurplusrequiredundersubsection1andsubsection2,ifapplicable,shallbeintheformofcash,cashequivalent,marketablesecuritiesasapprovedbythecommissioner,oranirrevocableletterofcreditonaformasprescribedbythecommissionerbyruleandasissuedbyabankcharteredbythestateofIowa,amemberbankofthefederalreservesystem,orabankcharteredbyanotherstateifapprovedbythecommissioner.b.Ifacaptivecompanyelectstosatisfyanyportionofthecaptivecompany’sminimumcapitalandsurplusrequirementswithmarketablesecurities,thecommissionermayrequirethecaptivecompanytofilefinancialstatementsorotherreportsonamorefrequentbasisthanotherwiserequiredunderthissubchapter.Theincreasedreportingfrequencymaybeimposedtoensurethecommissionercanadequatelymonitortheliquidity,valuation,andmarketriskassociatedwiththemarketablesecurities.Sec.15.Section521J.5,subsection1,Code2026,isamendedtoreadasfollows:1.ASubjecttothecommissioner’sapproval,acaptivecompanymustmaybeformedororganizedasabusinessentityasprovidedunderthischaptersubchapter,orasareciprocalinsurerasprovidedunderchapter520.Sec.16.Section521J.5,subsection2,paragraphc,Code2026,isamendedtoreadasfollows:c.Organizedasareciprocalinsureraspermittedbythecommissionerbyrule.Sec.17.Section521J.5,subsection5,paragraphc,Code2026,isamendedtoreadasfollows:c.Areciprocalinsurershallhaveatleastonememberofthesubscribers’advisorycommitteewhoisaresidentHouseFile2766,p.9ofthisstate.Acaptiveriskretentiongroupformedasareciprocalinsurershallhaveaminimumoffivemembersofthesubscribers’advisorycommitteewhoareresidentsofthisstate.Sec.18.Section521J.5,subsections6and7,Code2026,areamendedtoreadasfollows:6.a.Acaptivecompanyformedasacorporationoranotherbusinessentityshallhavetheprivilegesof,andshallbesubjectto,statelawsgoverningcorporationsorotherbusinessentities,andtheapplicableprovisionsofthischaptersubchapter.b.Intheeventofaconflictbetweenastatelawgoverningcorporationsorotherbusinessentitiesandthischaptersubchapter,thischaptersubchaptershalltakeprecedence.7.a.Asubscribers’agreement,orotherorganizationaldocumentofacaptivecompanyformedasareciprocalinsurer,shallauthorizeaquorumofasubscribers’advisorycommitteetoconsistofatleastone-thirdofthenumberofmembersontheadvisorycommittee.Inadditiontothissubchapter,acaptivecompanyformedasareciprocalinsurershallbesubjecttochapter520,unlessexemptbyapprovalofthecommissionerinthecaptivecompany’splanofoperations.Intheeventofaconflictbetweenchapter520andthissubchapter,thissubchaptershalltakeprecedence.b.Inadditiontothischaptersubchapter,acaptiveriskretentiongroupshallbesubjecttochapter515E.Intheeventofaconflictbetweenchapter515Eandthischaptersubchapter,thischaptersubchaptershalltakeprecedence.Sec.19.Section521J.5,subsec erwithinthirtycalendardaysofthedateofthematerialchangeandshallsubmitappropriatedocumentationasrequestedbythecommissionerforapproval.Thelifecaptivereinsurancecompanyshallnotwriteanyinsurancebusinessuntilonorafterthedateonwhichthecommissionerapprovesthesupportingdocumentation.4.Alldocumentsandinformationsubmittedpursuanttothissubchaptershallbeconfidentialandshallnotbemadepublicwithouttheadvancewrittenconsentofthesubmittinglifecaptivereinsurancecompany,withthefollowingexceptions:a.Thedocumentsandinformationshallbediscoverablebyapartyinacivilactionorinacontestedcasetowhichthelifecaptivereinsurancecompanythatsubmittedtheinformationisapartyuponashowingbythepartyseekingtodiscovertheinformationthattheinformationsoughtisrelevantto,andnecessaryfor,thefurtheranceoftheactionorcase;theinformationsoughtisunavailablefromothernonconfidentialsources;andthatasubpoenaissuedbyajudicialoranadministrativeofficerhasbeensubmittedtothecommissioner.b.Thecommissionermay,inthecommissioner’sdiscretion,disclosethedocumentsandinformationtoapublicofficialhavingjurisdictionovertheregulationofinsuranceinanotherstate,ortoapublicofficialofthefederalgovernment,providedthatthepublicofficialagreesinwritingtomaintaintheconfidentialityoftheinformation,andthatthelawsofthestateinwhichthepublicofficialservesrequirethattheinformationremainconfidential.5.a.Ifanapplicationfiledbyalifecaptivereinsurancecompanyiscomplete,thecommissionermayissuetothelifecaptivereinsurancecompanyacertificateofauthorityuponafindingofallofthefollowing:(1)Thelifecaptivereinsurancecompany’sproposedplanofoperationprovidesforaviableoperationandisnothazardoustoanycedinginsurer.(2)ThetermsofanyreinsurancecontractandrelatedtransactionsofthelifecaptivereinsurancecompanycomplyHouseFile2766,p.22withthissubchapterandtheinsurancelawsandrulesofthisstate.b.Inconjunctionwiththeissuanceofthecertificateofauthoritytoalifecaptivereinsurancecompany,thecommissionermayissueanorderregardinganytermsandconditionsrelatingtotheorganization,licensing,andoperationofthelifecaptivereinsurancecompanythatthecommissionerdeemsappropriateandthatarenotinconsistentwiththissubchapter.6.Acertificateofauthorityshallbevalidforaperiodofoneyearbeginningonthedateofinitialissuanceandthecertificatemustberenewedannually.Acertificateofauthoritymayberenewediftheapplicantisincompliancewiththerequirementsofthissubchapterandhaspaidanannualrenewalregistrationfeeatthetimeofrenewalintheamountoftwothousandfivehundreddollars.Sec.40.NEWSECTION.521J.103Lifecaptivereinsurancecompanies——names.Alifecaptivereinsurancecompanyshallnotadoptanamethatisthesame,deceptivelysimilar,orlikelytobeconfusedwithormistakenforanyotherexistingbusinessnamealreadyregisteredinthisstate.Sec.41.NEWSECTION.521J.104Actuarialofficer——certification.Onthedatealifecaptivereinsurancecompanyfilesanapplicationforacertificateofauthorityundersection521J.102,andbyMarch15ofeachsucceedingyearthatalifecaptivereinsurancecompanyisinoperationandiscedednewbusinessfromacedinginsurer,aqualifiedactuaryofeachcedinginsurershallfilewiththecommissioneracertificationthatthecedinginsurer’stransactionswiththelifecaptivereinsurancecompanyarenotusedtogainanunfairadvantageifpricingofpoliciesandcontractsreinsuredbythelifecaptivereinsurancecompanyreflect,atthetimethepoliciesandcontractswereissued,areasonablelong-termestimateofthecosttothecedinginsurerofanalternativethird-partytransactionandutilizecurrentpricingassumptions.ThecedinginsurershallhaveanongoingresponsibilitytomaintaindocumentationdetailingtheprocessbywhichthequalifiedHouseFile2766,p.23actuaryarrivedattheconclusionsinthecertificationinpreparationforanexaminationconductedpursuanttosection521J.110.Sec.42.NEWSECTION.521J.105Minimumcapitalandsurplusrequirements.1.Thecommissionershallnotissueacertificateofauthoritytoalifecaptivereinsurancecompanyunlessthelifecaptivereinsurancecompanypossessesandmaintainsunimpairedpaid-incapitalandsurplusthatisnotlessthanfivemilliondollars.Thecommissionermayrequireadditionalcapitalandsurplusbaseduponthetype,volume,andnatureofthereinsurancebusinesstransactedbythelifecaptivereinsurancecompany.Minimumcapitalandsurplusshallbeintheformofcashorothersecuritiesthatareinvestment-gradeatthetimeofacquisitionandareacceptabletothecommissioner.2.Exceptasotherwiseprovidedinthissection,chapter521Eshallapplytoalifecaptivereinsurancecompany.Sec.43.NEWSECTION.521J.106Planofoperation.Alifecaptivereinsurancecompanymusthaveaplanofoperationapprovedbythelifecaptivereinsurancecompany’sboardofdirectors,and,priortoassumingrisksunderareinsurancecontract,shallsubmittheplanofoperationtothecommissionerforapproval.Thecommissionermayapprovetheplanofoperationuponfindingthattheplanofoperationmeetstherequirementsofthissection,andmayrequireamendmentstotheplanofoperationasnecessarytosatisfytherequirementsofthissection.Anychangeinthelifecaptivereinsurancecompany’splanofoperationshallrequirepriorapprovalofthecommissioner.Theplanofoperationmustinclude,ataminimum,allofthefollowing:1.Acompletedescriptionofallreinsurancetransactions,reinsurancesecu ndotheramountspayablebythecedinginsurertothelifecaptivereinsurancecompanypursuanttothereinsurancecontract.3.Alifecaptivereinsurancecompanymaycederisksassumedthroughareinsurancecontracttooneormorereinsurersthroughthepurchaseofretrocession,subjecttopriorapprovalofthecommissioner.4.Alifecaptivereinsurancecompanymayenterintocontractsandconductothercommercialactivitiesrelatedorincidentaltoandnecessarytofulfillthepurposesofareinsurancecontract,aninsurancesecuritization,andthissubchapter.Suchcontractsandcommercialactivitiesmustbeincludedinthelifecaptivereinsurancecompany’splanofoperationorotherwisebeapprovedinadvancebythecommissioner,andmayincludebutarenotlimitedtoanyofthefollowing:a.Enteringintoreinsurancecontractsorissuinglifecaptivereinsurancecompanysecurities,andcomplyingwiththetermsofthecontractsandsecurities.b.Enteringintoguarantytrust,guaranteedinvestmentcontract,swap,orotherderivative,tax,administration,servicesreimbursement,orfiscalagenttransactions.c.Complyingwithtrustindenture,reinsurance,orretrocession.5.Areinsurancecontractshallnotcontainaprovisionforpaymentbythelifecaptivereinsurancecompanyindischargeofthelifecaptivereinsurancecompany’sobligationstoapersonHouseFile2766,p.33otherthanthecedinginsurerorareceiverofthecedinginsurer,exceptuponpriorapprovalofthecommissioner.Sec.52.NEWSECTION.521J.115Ratingorganizations.Alifecaptivereinsurancecompanyshallnotberequiredtojoinaratingorganization.Sec.53.NEWSECTION.521J.116Compulsoryorganizations.Alifecaptivereinsurancecompanyshallnotjoinorcontributefinanciallytoaplan,pool,association,orguarantyorinsolvencyfundinthisstate.Sec.54.NEWSECTION.521J.117Dormantlifecaptivereinsurancecompanies.1.Alifecaptivereinsurancecompanythatisdomiciledinthisstateandcomplieswiththissectionmayapplytothecommissionerforacertificateofdormancy.Acertificateofdormancyshallbevalidforfiveyearsfromthedateofissuanceandmaynotberenewed.2.a.Alifecaptivereinsurancecompanythathasbeenissuedacertificateofdormancyshallcomplywithallofthefollowing:(1)Thedormantlifecaptivereinsurancecompanyshallpossessandmaintainunimpaired,paid-incapitalandsurplusofnotlessthantwenty-fivethousanddollars.(2)Adormantlifecaptivereinsurancecompanyshallannuallysubmittothecommissioner,withinninetycalendardaysoftheendofthedormantlifecaptivereinsurancecompany’sfiscalyear,areportonthedormantlifecaptivereinsurancecompany’sfinancialcondition,verifiedunderoathbytwoofthedormantlifecaptivereinsurancecompany’sexecutiveofficers,intheformandmannerestablishedbythecommissionerbyrule.(3)If,foranyportionoftheimmediatelyprecedingcalendaryear,thelifecaptivereinsurancecompanyheldacertificateofdormancy,thedormantlifecaptivereinsurancecompanyshallpayanannualonethousanddollardormancytax,dueonorbeforeMarch1.b.Fromthedateacertificateofdormancyisissuedthroughthedatethecertificateexpires,adormantlifecaptivereinsurancecompanythathasbeenissuedthecertificateshallnotbesubjecttosection432.1A.HouseFile2766,p.343.Atthediscretionofthecommissioner,adormantlifecaptivereinsurancecompanymaybesubjecttoanannualexamination.4.Priortoadormantlifecaptivereinsurancecompanyissuinganinsurancepolicy,thecompanymustapplytothecommissionerforapprovaltosurrenderthecompany’scertificateofdormancyandtoresumeconductingthebusinessofinsurance.5.Thecommissionershallrevokeadormantlifecaptivereinsurancecompany’scertificateofdormancyifthecompanyviolatesthissection.Sec.55.NEWSECTION.521J.118Booksandrecords.1.a.Unlessotherwiseapprovedbythecommissioner,alifecaptivereinsurancecompanyshallmaintainthecompany’soriginalbooks,records,documents,accounts,vouchers,andagreementsinthisstateandmakethemavailableforexaminationandinspectionbythecommissionerasrequestedbythecommissioner.Thelifecaptivereinsurancecompanymaystoreandreproducethebooks,records,documents,accounts,vouchers,andagreementselectronically.b.Allbooks,records,documents,accounts,vouchers,andagreementsshallbekeptinamannerthatthecommissionercanreadilyascertainthelifecaptivereinsurancecompany’sfinancialcondition,affairs,andoperations;canreadilyverifythelifecaptivereinsurancecompany’sfinancialstatements;andcanconfirmthelifecaptivereinsurancecompany’scompliancewiththissubchapter.2.Unlessotherwiseapprovedbythecommissioner,allbooks,records,documents,accounts,vouchers,andagreementsmaintainedbyalifecaptivereinsurancecompanyundersubsection1shallremainavailableinthestateuntilthecommissionerapprovesdestructionorotherdispositionofthebooks,records,documents,accounts,vouchers,andagreements.Sec.56.NEWSECTION.521J.119Materialtransactions.1.Alifecaptivereinsurancecompanyshallnottakeanyofthefollowingactionsunlessthecompanyprovidesthecommissioneratleastthirtycalendardays’priorwrittennoticeandthecommissionerexpresslyapprovestheaction:a.Dissolvethelifecaptivereinsurancecompany.HouseFile2766,p.35b.Sell,exchange,lease,mortgage,assign,pledge,orotherwisetransferorgrantasecurityinterestinoverthirtypercentoftheassetsofthelifecaptivereinsurancecompany.c.Incurmaterialindebtedness.d.Makeamaterialloanorothermaterialextensionofcredit.e.Makeamaterialpaymentoutofcapitalandsur
